Dialog Axiata PLC is seeking a motivated and detail-oriented legal professional to join our Group Legal and Regulatory team. This role offers the opportunity to work at the intersection of law, technology and business, supporting contract management and legal advisory across the organisation.

Job Purpose: The Senior Legal Officer - Contracts will be responsible for the review, negotiation, renewal, and drafting of agreements and contracts for the Dialog Group, ensuring alignment with both local and global standards. This role is crucial in safeguarding the business interests of the Dialog Group and Axiata Group Berhad, ensuring compliance with statutory regulations, and implementing adequate safeguards in all executed agreements.

The Job:

  • Review and draft contracts to ensure clarity of clauses, minimising the potential for future disputes.
  • Include all relevant information in contracts to effectively meet the requirements of all parties involved.
  • Adhere to established processes in the preparation and execution of contracts.
  • Support the end-to-end contract lifecycle, including execution, renewals, and amendments.
  • Ensure that considerations of the Dialog Group are adequately addressed in all agreements.
  • Draft contracts in compliance with applicable laws and regulations, ensuring that agreed clauses are accurately represented.
  • Oversee the execution of documents/contracts, ensuring they are valid and enforceable.
  • Obtain necessary board approvals and ensure contracts are executed by authorized signatories.
  • Provide authoritative legal advice to stakeholders, ensuring compliance with statutory and regulatory requirements.
  • Support the identification and resolution of contractual disputes, including reviewing and interpreting relevant contract provisions, engaging with counterparties, and coordinating with external legal counsel where required.
  • Collaborate with relevant internal parties to gather insights and finalise contracts.
  • Draft and review technology-related contracts, including SaaS, IT, and digital services agreements.
  • Maintain strong working relationships with internal stakeholders connected to the contracts.
  • Prepare necessary details for management review and decision-making.
  • Follow processes for the storage of data and agreements.
  • Maintain contract templates, clause libraries, and documentation standards.
  • Utilise and contribute to the development of the Contract Lifecycle Management System or any other automated/digital systems used by Group Legal and Regulatory.
  • Employ electronic signature systems, such as Adobe Sign, for obtaining signatures on contracts.
  • Ensure all executed contracts contain adequate safeguards to minimise associated risks.
  • Consider risk mitigation, data protection, security, and anti-bribery and corruption measures in all legal aspects.
  • Align the legal function with the needs of individual process owners while supporting the Group’s overall objectives.
  • Uphold the Corporate Values and Ethics of the Axiata Group while catering to the business requirements of Dialog.
Entry Requirements

The Person:

  • Hands-on experience in commercial contract drafting is essential.
  • Possess a recognised Bachelor of Laws degree from a reputable university and be an Attorney-at-Law. Postgraduate qualifications would be an added advantage.
  • Minimum 2 to 3 years of post-qualification experience in relevant legal fields.
  • Strong understanding of commercial/business law, contracts, sale of goods, immovable property, intellectual property, e-commerce, information technology, criminal law, employment law, and administrative law.
  • Working knowledge of technology-related contracts (SaaS, IT, digital services) is an advantage.
  • Understanding of data protection and privacy laws.
  • Familiarity with administrative, civil, criminal, and judicial procedures and rules of evidence.
  • Knowledge of litigation fundamentals and alternative dispute resolution procedures, including trial court and appellate court processes.
  • Awareness of established precedents, legislation, codes, and regulations applicable to the telecommunications industry.
  • Strong legal drafting and negotiation skills.
  • Good communication and stakeholder management skills.
  • A collaborative team player who builds strong working relationships across legal and business functions.
  • Ability to manage multiple priorities and deadlines.
